You will support all matters relating to subsidiary corporate governance, legal, regulatory and internal policy requirements and processes for a number of the Firm's Colombian and Peruvian subsidiaries. In addition, you will support matters relating to signing authority, the Firm's simplification and restructuring of legal entities as well as capital actions projects, and the firmwide, global initiative to identify and document JPMC's legal obligations arising from material laws, rules, and regulations, and connect those obligations to policies, procedures, and/or other documentation that supports compliance with the obligations.TheOffice of the Secretary partners with senior management, control groups, lines of business and corporate units to promote effective governance of the Firm, its branches, subsidiaries and affiliates. It operates through a corporate team and four regional hubs, in the United States, Europe, Latin America and Asia.The Legal Department at JPMorgan Chase & Co. manages legal and other risks, advises on products and services, interprets laws and regulations that impact the firm, and advises the firm on other matters. If these values resonate with you, we would like to hear from you.Job responsibilities:Managing the Firm's Colombian and Peruvian subsidiaries from a corporate secretary and governance perspective, including but not limited to: (i) advising on corporate governance matters, (ii) conducting subsidiary shareholder, board and board committee meetings, (iii) preparing shareholder, board and board committee agendas, materials and minutes, (iv) managing periodic and event-based regulatory filings and updating the online systems of regulators, and (v) maintaining key records of the legal entities;Performing corporate governance legal research and analysis of corporate laws and regulations, primarily related to financial institutions, drafting memoranda, conducting research in minute books and otherwise on legal entity history;Developingprocedures/checklists to document various corporate governance processes;Assisting with the Firm's process relating to signing authorities for legal entities, including the drafting and review of powers of attorney or other means to obtain signing authority;Supporting the firmwide initiative to document legal obligations by creating, maintaining and confirming obligations based on applicable laws, and changes to those laws, affecting the Firm's products and services;Providing legal assistance to internal restructuring and capital action projects ; andProviding legal assistance to various departmental projects, including but not limited to legal entity simplification projects.Required Qualifications, Capabilities And Skills5-10 years of legal experience with Colombian corporate lawAttorney must be licensed to practice law in Colombia, and be in good standingFluent in Spanish and EnglishCorporate governance and regulatory experienceExperience reviewing, preparing and drafting legal documentationAbility to lead large scale internal projects and effectively manage the work of outside counselAbility to work independently and efficiently under time pressures in a fast-paced environmentSuperior written and oral communications skills, and excellent interpersonal skillsProven record of prioritizing multiple projects simultaneously while meeting deadlinesBanking, financial services or law firm experience highly preferredMergers and acquisitions experience is helpful, but not requiredAll candidates for roles in the Legal department must be licensed to practice law in the country of employment and successfully complete a conflicts of interest clearance review prior to commencement of employment.About UsJPMorgan Chase & Co., one of the oldest financial institutions, offers innovative financial solutions to millions of consumers, small businesses and many of the world's most prominent corporate, institutional and government clients under the J.P.
